Terms and Conditions

1. Scope
These Terms and Conditions apply to all contracts between JULITH GmbH (hereinafter "we" or "Provider") and its customers regarding the Awareness-as-a-Service offering. Customer terms that differ from these conditions shall not be recognised unless we have expressly agreed to them in writing.
2. Contract Formation
A contract is formed upon written acceptance of our offer. Self-registration via the website is not currently available.
3. Scope of Services
Awareness-as-a-Service comprises the following pillars, as set out in the chosen plan:
- Phishing simulation - realistic, configurable phishing campaigns to test and raise employee awareness
- Micro-training - short, focused learning modules covering current threat scenarios
- Reporting - anonymised dashboards and management reports on campaign and training outcomes
The precise scope of services is defined by the plan selected at contract signature: Starter, Business, or Enterprise.
4. Prices and Payment
Prices are calculated per employee per month and are invoiced annually in advance based on average headcount. Payment terms are 30 days net from invoice date.
5. Term and Termination
The Starter plan may be cancelled on a monthly basis with effect from the end of the following month. Business and Enterprise plans have an annual term and may be terminated with three months' notice prior to the end of the contract period.
6. Customer Cooperation Obligations
The customer shall provide the data and accesses required for service delivery and shall inform its employee representative body (works council or equivalent) about the use of phishing simulations before campaigns commence.
7. Data Protection and Data Processing Agreement
Upon contract signature, the parties shall enter into a Data Processing Agreement (DPA) whose conditions form an integral part of this agreement. The DPA governs the processing of personal employee data by JULITH GmbH as a data processor.
8. Availability and Service Levels
We target a monthly availability of 99.5%. Planned maintenance windows will be announced at least 48 hours in advance via the customer portal or by e-mail.
9. Liability
We are liable without limitation for intent and gross negligence. In cases of ordinary negligence, liability is limited to foreseeable, contract-typical damage, and in any event shall not exceed the annual fee paid under the affected contract.
10. Confidentiality
Both parties shall treat confidential information of the other party as strictly confidential during and after the term of the contract. This obligation survives termination.
11. Governing Law and Jurisdiction
These Terms and Conditions are governed by Swiss law. The exclusive place of jurisdiction is Schaffhausen, Switzerland.
12. Final Provisions
Should any provision of these Terms be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Amendments or supplements to these Terms must be made in writing to be effective.
